Public offer agreement

This document is the Seller's official public offer to conclude a contract for the sale of goods presented on the wholesale portal opt.tihon.com.ua. The contract is public under Article 633 of the Civil Code of Ukraine. It is concluded by placing an order and confirming it electronically.

1. Definitions

  • Public offer — the Seller's public proposal to conclude a distance sales contract on the stated terms.
  • Goods — the item selected by the Buyer in the catalogue and added to the cart or purchased remotely.
  • Wholesale portal — the website opt.tihon.com.ua for concluding wholesale sales contracts.
  • Buyer — a legal entity, a sole proprietor, or a capable individual aged 18+, whose account has been approved by the Seller.
  • Seller — LLC SPA «Tihon» (EDRPOU 41784315), located at 27 Bohdana Khmelnytskoho St., Kharkiv, 61001.

2. Subject of the contract

The Seller transfers ownership of the Goods to the Buyer, and the Buyer pays for and accepts the Goods under this contract. The contract is concluded by placing an order on the portal followed by confirmation by a manager. At the Buyer's request the contract may be executed in writing.

3. Placing an order

The Buyer places an order via the portal cart, by email or by phone. Access to wholesale prices and ordering is granted after registration and account approval by the Seller. Required information: the Buyer (company) name, a contact person and phone, details for documents, and the delivery address.

The name, quantity, SKU and price are shown in the cart. The Seller may decline an order if the data provided is incomplete or doubtful. The Buyer is responsible for the accuracy of the information provided.

By concluding the contract, the Buyer confirms full review of and agreement with the offer, and consents to the collection and processing of personal data under the Law of Ukraine «On Personal Data Protection» for order fulfilment, settlements and document handling.

4. Price and settlements

Prices are shown on the portal in UAH. For approved wholesale buyers, prices reflect their individual discount (dropshipping, dealer or other). The Seller may change prices unilaterally, but the price of an already-paid unit of goods is not subject to change.

Unless otherwise agreed, the price does not include delivery. The Buyer's payment obligations are deemed fulfilled when funds reach the Seller's account. Payment methods are described in «Ordering and payment».

Ownership and the risk of accidental loss or damage pass to the Buyer upon transfer of the goods to the Buyer or to the delivery service.

5. Rights and obligations

  • The Seller must deliver the goods per the order and must not disclose the Buyer's private information except as required by law or to fulfil the order.
  • The Seller may change the contract terms and prices unilaterally by publishing changes on the portal; changes take effect upon publication.
  • The Buyer must review the terms and prices before concluding the contract and provide all data needed for identification and delivery.

6. Returns

Returns of goods of proper and improper quality are governed by Ukrainian law and described in the «Returns» section.

7. Liability and force majeure

The Seller is not liable for harm caused by improper installation, use or storage of the goods, or for improper order fulfilment due to inaccurate information from the Buyer. The parties are released from liability for non-performance caused by force majeure (war, hostilities, natural disasters, etc.), of which the affected party promptly notifies the other.

8. Confidentiality and data protection

By providing personal data during registration or ordering, the Buyer voluntarily consents to its processing, use and transfer to the Seller's counterparties to the extent needed to fulfil obligations. The Buyer is responsible for keeping the data up to date.

9. Miscellaneous

The contract is concluded in Ukraine and governed by Ukrainian law. Disputes are resolved through negotiation and, failing agreement, in court under Ukrainian law.
